1) Insolvency, Business Reconstruction and Debt Recovery. Our firm with its wide contacts with the business and commercial community has empirical capacity which aids our lawyers to plan, design execute instruction on a wide area of matters which include Mergers and Acquisitions, Takeovers, Schemes of Arrangement, Receiverships and Liquidations, debt Recovery and Restructuring, Winding Up both voluntary and subject to the supervision of the Court and generally Part XIV of the Companies and Allied Matters Act 1990.
2) Incorporation of Companies. Our Company formulate and carry out incorporation of companies limited by shares, limited by gaurantee and unlimited companies as well as registration of business names and incorporated trustees under part c of the companies and Allied Matters Act 1990. We also advise on amendments and implications of memoranda and articles of association, shareholders agreements and directors’ and trustees’ responsibilities. We prepare shareholders agreements by reviewing and considering the articles of association to ensure that shareholders’ interest are properly protected. We use our wide contacts at the Corporate Affairs Commission, the administrator of the Nigerian Company Code, Companies and Allied Matters Act 1990, which undertakes the registration of Business Names, Incorporation of Companies, Filing of Annual Returns, Change of Address and other company information changes to speedily work on clients instructions.
3) Intellectual Property. With the lead Counsel of the firm having an International Intellectual Property Practice Diploma of the International Bar Association by the College of Law of England and Wales, the Company is able to pursue the business rights of our Clients in Copyright, Patents, Trade Marks, Anti-Counterfeiting & Piracy, Know-How, Technical Designs, Confidential Information and Trade Secrets. Where necessary, we use the instrumentality of the Nigerian law through the Federal High Court to obtain remedies and reliefs in favour of our clients including getting seizure orders, surrender of offending products or marks, award of damages, injunctions, and anton pillar orders.
4) Maritime Law. With good exposure both in theory and practice by the Lead Counsel in the firm in Shipping and Admiralty law, the firm is able to take and carry out instruction in the registration of vessels, creation of ship mortgage with the Flag State authorities NIMASA, arrest and release of vessels, construction and formulation of charterparties and making claims for demurrage, creation of liens and is versed in the operation of the Cabotage law, the Nigerian equivalent of the Jones Act which seeks to advance the legal and commercial interest of indigenous vessel owners. We further give consultation on Ship Financing, Sale & Purchase, Marine Pollution Control, Ship Demolition and Wreckage Removal. Situated in Ikoyi, places the company at equidistant to the State High Court and The Federal High Court, Ikoyi. The later has the exclusive jurisdiction over admiralty matters. This gives the Company a quick reach to effect arrests and release of ships.
5) Sale and Carriage of Goods. Armed with International Conventions and Treaties in rspect of Carriage of Goods by Sea and the Sale of Goods Act, we advise Clients on issues relating to sale of goods and their carriage. This relates to matters of Bill of Lading, Form M and other Bank & Financial Documents, Invoicing, Customs and other Tarrifs. Particularly we advise Clients on the Hague, Hague-Visby, Hamburg and now the Rotterdam Rules which covers the Carriage of Goods Wholly or Partly by Sea.
6) Litigation We where necessary or if instructed we institute action on behalf of our Clients to pursue their civil rights. The firm is well experienced in the practice and procedure from the High through Appeal to Supreme Court of Nigerian Law with Lawyers who are good in advocacy.
7) Real Estate, Land Law and Conveyancing Versed in the Nigerian law of real property and convenyancing, the firm undertakes searches on behalf of Clients at the State land regtries, Geographic Information (GIS) bureaues and the survey department thoroughly to save clients from misguided land transactions. This include liasing with appropriate professionals in mapping, surveyeying and charting of lands. We perfect property mortgages for clients and bring forclosure proceedings where necessary or impeach same if improperly obtained. In general we advise on the use of assets in secured credit transactions this include real assets, securities and negotiable instruments such as bills of lading. We draw simple lease agreements, agreements where tenants is to do works which covers developing landlords property by tenant; this involves composing agreements that involves and touch on virtuallly all professional in the construction industry as well as relating with town and regional planning authorities.
